Terms of Service

These Terms of Service (“Terms”) govern the use of services provided by Aquilofts Outsourcing (“we”, “our”, “us”), including all related communications, staffing solutions, and technology infrastructure. By engaging with our services, you (“Client”, “you”, “your”) agree to be bound by these Terms.
- Our Services
Aquilofts Outsourcing provides offshore staffing solutions including, but not limited to:
- Recruitment of offshore staff based in the Philippines
- HR, payroll, and administrative management
- Secure IT infrastructure and VoIP systems
- Staff supervision and performance tracking
- Client account management and UK-based support
We act as the operational and legal employer of offshore staff while the client retains direct task and workflow management authority.
- Engagement & Onboarding
Upon initial agreement, the client will:
- Define the job role and requirements
- Review and select candidates sourced by our recruitment team
- Approve final hiring decisions before onboarding
- Agree to the monthly service fee as per the provided pricing agreement
Service begins once onboarding is completed and the staff member is actively deployed.
- Client Responsibilities
The client agrees to:
- Provide timely instructions, communication, and feedback to offshore staff
- Ensure all assigned tasks comply with UK laws and ethical practices
- Refrain from directly hiring or soliciting Aquilofts staff without consent for a minimum of 12 months after service termination
- Provide prompt payment of invoices within agreed terms
- Payment Terms
- Monthly fees are invoiced in advance and are due within [7/14] days of receipt
- Late payments may result in service suspension until cleared
- All fees are exclusive of VAT
Custom pricing is based on the role, experience level, and any add-on services requested. Any changes in scope may be reflected in future invoices.
- Confidentiality
Both parties agree to maintain the confidentiality of all business, personnel, and client data shared during the course of service.
This includes, but is not limited to:
- Employee information
- Client business practices
- Access to systems, tools, or intellectual property
Confidential information will not be disclosed to third parties without prior written consent.
- Data Protection & Security
Aquilofts complies with UK GDPR standards and ensures:
- Secure IT infrastructure for offshore teams
- UK-based data hosting options
- Use of VPNs, firewalls, and access controls
- Staff training in security best practices
Clients are responsible for ensuring any data shared with Aquilofts is legally obtained and properly handled on their side.
- Service Availability
Aquilofts provides staff for 40 hours per week (unless otherwise agreed). We strive to maintain consistent performance and uptime but are not liable for service interruptions caused by:
- Natural disasters
- Internet or power outages
- Events beyond our control
We have contingency plans in place for critical failures to minimize disruption.
- Termination & Cancellation
Either party may terminate the agreement with 60 days’ written notice.
Termination may occur earlier in the case of:
- Non-payment
- Breach of confidentiality
- Misuse or abuse of service or staff
Upon termination, access to staff and systems will be revoked, and any outstanding payments will become immediately due.
- Intellectual Property
All deliverables, output, or results of work performed by offshore staff remain the property of the client, provided full payment has been made and terms have not been breached.
Aquilofts retains the right to reference non-confidential client engagements for promotional use unless otherwise agreed in writing.
- Limitation of Liability
Aquilofts shall not be liable for:
- Any indirect or consequential losses
- Loss of profit, reputation, or data
- Any third-party claim against the client related to service use
Total liability in any case shall not exceed the amount paid by the client in the preceding three months of service.
- Governing Law
These Terms are governed by and construed under the laws of England and Wales. Any disputes shall be resolved in the UK legal system.
- Amendments
We may update these Terms from time to time. The most current version will always be available at www.aquilofts.com/terms and will supersede any previous versions.
